ClaimPix operates the Website for authorized use by third party service providers with whom ClaimPix maintains a business relationship. Service providers may include, without limitation, insurance companies, car transportation companies and contractors. The Website is a tool that authorized service providers may use in connection with providing services to its own customers. ClaimPix does not participate or have any control with respect to transactions between you and your service provider (or, if you are a service provider, between you and your customers).. ClaimPix is not responsible for the outcome or any other matters arising in connection with transactions between you and your service provider (or, if you are a service provider, between you and your customers).

All disputes that a party may have over a transaction will remain solely between you and the service provider (or, if you are a service provider, between you and your customers), and governed by the agreed to terms of the transaction between you and such service provider (or, if you are a service provider, between you and your customers). ClaimPix shall have no obligation to, and shall not be liable for any damages arising in connection with, any transactions between you and your service provider (or, if you are a service provider, between you and your customers).

Compliance

For all matters arising in connection with the Website, if you are a service provider you shall comply with all applicable federal, state and local laws, regulations and orders including, without limitation, the Telephone Consumer Protection Act, the CAN-SPAM Act, and the Do-Not-Call Registry. ClaimPix does not facilitate, does not monitor, is not responsible for and hereby disclaims all liability in connection with any communications, regardless of form (e.g., mail, e-mail, SMS messaging, landline or mobile phone calls, etc.) between you and any service provider (or, if you are a service provider, between you and your customers).

If you are a service provider, by using the Website you represent and warrant to ClaimPix that you have in place and will at all times maintain internal procedures deemed satisfactory by you in your sole business judgment in order to ensure your compliance with all federal, state and local laws, regulations and orders.

If you are the customer of a service provider, by using the Website you represent and warrant to ClaimPix that you have authorized the service provider to make use of all information (including, without limitation, photos, claims information, contracts, signatures and other personal information) which you provide or transmit through use of the Website.

You shall immediately notify ClaimPix in writing of any non-compliance.

Accessing the Website and Account Security

By using this Website, you represent and warrant that you are of legal age to form a binding contract. We reserve the right to withdraw or amend this Website, and any service or material we provide on the Website, in our sole discretion without notice. We will not be liable if for any reason all or any part of the Website is unavailable at any time or for any period. From time to time, we may restrict access to some parts of the Website, or the entire Website, to any one at any time in our sole discretion. Prohibited Uses

You may use the Website only for lawful purposes and in accordance with these Terms of Use. You agree not to use the Website:

Content Standards

These “Content Standards” apply to any and all User Contributions and Interactive Services. User Contributions must in their entirety comply with all applicable federal, state, local and international laws and regulations. Without limiting the foregoing, User Contributions must not:

take any action with respect to any User Contribution that we deem necessary or appropriate in our sole discretion, including if we believe that such User Contribution violates the Terms of Use, including the Content Standards, infringes any intellectual property right or other right of any person or entity, threatens the personal safety of users of the Website or the public or could create liability for ClaimPix;

Termination

These Terms of Use will control the entirety of the relationship between you and ClaimPix. ClaimPix may terminate or suspend your account and use of and access to the Website at any time in its sole discretion, with or without cause, without notice or liability to you. You may terminate your use of the Website at any time and for any reason or no reason by stopping all use of the Website. These Terms shall survive any termination of the parties’ relationship.

Copyright Infringement

If you believe that any User Contributions violate your copyright, please contact us. It is the policy of ClaimPix to terminate the user accounts of repeat infringers.

Reliance on Information Posted

The information presented on or through the Website is made available solely for general information purposes. We do not warrant the accuracy, completeness or usefulness of this information. Indemnification

You agree to defend, indemnify and hold harmless ClaimPix, its affiliates, licensors and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses or fees (including reasonable attorneys’ fees) arising out of or relating to (i) your violation of these Terms of Use or your use of the Website, including, but not limited to, your User Contributions, any use of the Website’s content, services and products other than as expressly authorized in these Terms of Use or your use of any information obtained from or through use or access to the Website; (ii) the inaccurate or untruthful content or other information provided by you to ClaimPix or that you submit, transmit or otherwise make available through the Website; and (iii) any intentional or willful

violation of any rights of another or harm you may have caused to another. ClaimPix will have sole control of the defense of any such damage or claim.

Governing Law and Jurisdiction

All matters relating to the Website and these Terms of Use and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the State of Illinois without giving effect to any choice or conflict of law provision or rule (whether of the State of Illinois or any other jurisdiction). Any legal suit, action or proceeding arising out of, or related to, these Terms of Use or the Website shall be instituted exclusively in the federal courts of the United States District Court for the Northern District of Illinois, Eastern Division, or the courts of the State of Illinois located in the County of DuPage, although we retain the right to bring any suit, action or proceeding against you for breach of these Terms of Use in your country of residence or any other relevant jurisdiction. You agree to waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.
